Madde 1- DERNEĞİN ADI:

Derneğin adı NİL EĞİTİM VE YARDIMLAŞMA DERNEĞİ‘dir.

Kısa adı NEYAD‘dır.

Madde 2- DERNEĞİN  MERKEZİ:

Derneğin Merkezi İstanbul’dadır. Dernek yurt içi ve yurt dışında şube ve temsilcilikler açabilir.

Madde 3- DERNEĞİN AMACI:  

Toplumsal barışa ve toplumun mutluluğuna katkıda bulunmak. Yurt içinde ve yurt dışında ulaşabildiğimiz tüm ihtiyaç sahiplerine ayni ve nakdi yardımları zamanında ve sağlıklı olarak ulaştırmak, Ekonomik sıkıntılar çeken öğrencilere burs imkânı sağlamak, eğitimler vermek. Çevresel sorunlar için yapıcı ve yerinde çözümler üretmek, Doğadaki canlı çeşitliliğini korumayı, türlerin yok olmasını engellemeye yönelik çalışmalar yapmak. Bu amaçlar doğrultusunda, Seminerler, konferansalar düzenleyip halkımızı çeşitli konularda bilgilendirmek.

Madde 4- DERNEĞİN ÇALIŞMA VE FAALİYET ALANLARI:

Derneğin amacını gerçekleştirebilmek için sürdüreceği caşılma konuları ve faaliyet alanları:

a) Sosyal faaliyetler, etkinlikler ile yasa ve yönetmeliklere uygun olarak, temiz toplumun korunması, gelişmesi ve yaygınlaşmasında, milli çıkarlarımızı ön planda tutarak faaliyetlerini yürütür.

b ) Amaçları doğrultusunda yurt içi ve yurt dışı eğitim çalışmaları ve programlar (konferans, panel, seminer, sempozyum , fuar , sergi vb.)  yapmak, bu etkinlikler çerçevesinde diğer sivil toplum kuruluşları ile kurum ve kuruluşlarla işbirliği yapmak, organize edilmiş olanlara doğrudan katılmak.

c ) Gelir temini için üye aidatı, ayni ve nakdi bağış kabul etmek ve 2860 sayılı kanun çerçevesinde yardım toplamak.

ç) Sosyal, kültürel ve yardım amaçlı yurt içi ve yurt dışı seyahatler düzenlemek, konserler, konferanslar,  sergi, kermes, çay ve bu gibi geleneksel günler tertip etmek

d ) Amaçları doğrultusunda bilgi aktarmak için her türlü basın yayın, radyo, televizyon, internet, ajans, gazete, dergi, kitap, broşür, afiş gibi iletişim araçlarından yararlanmak. Bu yayınların, basım, yayım ve dağıtımını yapmak.

e) Lüzumu halinde yönetim kurulu kararıyla uygun yerlerde aşevi ve yardım dağıtım yerleri açmak.

Açılan aşevi ve yardım noktalarında derneğimizin hizmetlerinin yanı sıra çevre halkının da gönüllü olarak yapacakları muhtelif yardımları kabul etmek ve ihtiyaç sahiplerine hizmet ve yardımda bulunmak. Bu gibi yardım vermek isteyenlerin yazılı beyanları ve kimlik bilgileri alınmak kaydıyla geçici veya sürekli ayni ve nakdi yardım ve destekleri kabul edilerek derneğe aşırı yük getirilmeden insani yardımların kabulü ile insanlara yardım ulaştırmak.

 f) Dernek kurmak ve üye olmak, federasyon, platform kurmak ve üye olmak, Gerekli izinleri alarak uluslararası kuruluşlara üye olmak. Bu hususta genel kurul yetkilidir.

g) Öğrencilere eğitim bursu vermek. Sosyal ve ekonomik yardımları kabul ederek, her yaştaki fakir ve kimsesiz çocukların öğrenim masrafları ile yurt dışı eğitim giderlerine yardımcı olmak ve gerektiğinde okullara yardımda bulunmak.

h) Kanunlar çerçevesinde kreş, anaokulu, lise ve dengi okullar, özel okullar, kolej, hazırlık kursları, dershane vs. eğitim kurumları tesis etmek, satın almak, açmak, işletmek, kiralamak, kiraya vermek.

ı) İlmi araştırmalar planlamak ve yaptırmak. Bu amaçla İlköğretim, lise, ön lisans, lisans ve doktora yapan araştırıcı adaylarına her türlü imkânı hazırlamak, burs vermek, ayni ve nakdi yardım yapmak. Öğrencilere yönelik kurslar düzenlemek,

 i) Yabancı dil, tezhip, minyatür, ebru, hat, okuma, konuşma, yazma ve hızlı okuma, gibi alanlarda kurslar düzenlemek ve bu amaçla kurs yerleri, satın almak, tesis etmek, açmak, işletmek, kiralamak, kiraya vermek.

j) Amacına uygun alanlarda okuma, araştırma ve bilimsel çalışma yapmak ve proje geliştirme bursları vermek, bilimsel araştırmalar yaptırmak veya bu tür araştırmalara ayni ve nakdi yardımlarda bulunmak. Kamu kurumlarına ve özel kurumlara eğitim, bilim, sosyal yardımlaşma kültür ve sanat alanlarında danışmanlık ve proje hizmetleri vermek.

k) Eğitimin istenilen seviyelerde ve kolaylıkla yapılabilmesi için, mevcut eğitim kuruluşlarıyla iş birliği yaptığı gibi, eğitim ve öğretim için okul, pansiyon, yurt, misafirhane, öğrenci evleri, kütüphane ve okuma salonları açmak veya bu hususlarda başka diğer sivil toplum kuruluşlarının yerlerinden ve öğretiminden faydalanmak. Her seviyede eğitimin öğreticilerini temin eder ve personel olarak veya fahri olarak görevlendirmek, Gerektiğinde aynı faaliyetleri yurt dışında da yerinde yapmak.

l) Gerek derneğimiz üyelerine ve gerekse ihtiyacı olan herkese kitap, dergi, gazete, vcd, dvd eğitim ve iş aracı, malul arabası, karşılıksız eğitim bursları ve mesleki eğitim bursları temin etmek ve vermek

m) Menkul ve gayrimenkul bağışı kabul etmek, satın almak, kiralamak, kiraya vermek, diğer sivil toplum kuruluşları ile birlikte hizmet binası yapmak veya ortak olmak. Gerektiğinde iktisadi işletme açmak veya ortak olmak.

n) Siyasetçi, sanayici ve işadamları, sanatkâr, sanatçı ve meslek sahipleri ile iletişim ve iş birliği yaparak; faydalı olabilecekleri alanlarda destek almak veya destek sağlamak kaydıyla toplumsal işbirliğini artırarak, ekonomi ve kalkınma alanda eğitici ve topluma faydalı hizmetler yapmak. Meslek sahibi kişileri istihdam konularında desteklemek.

o) Amaç ve hizmet konularını gerçekleştirmek ve derneğe gelir sağlamak için şirketler kurmak ve işletmek, bu amaçla kurulmuş şirketlere ortak olmak ve işbirliğinde bulunmak.

ö) Amaca yönelik hizmetlerin yürütülmesinde, yönetim kurulunun hakları saklı kalmak kaydıyla üyeler arasından meslekleri ve yetenekleri doğrultusunda komisyonlar ve kurullar kurmak, Toplumun daha çok kesimine hizmet verebilmek için yol, köprü, çeşme, oyun parkı, kültürel faaliyetler ve sosyal yardımlaşmaya yönelik iş sahaları, sosyal tesisler, çay bahçesi, misafirhane, pastane, aş evleri,  eğlence ve dinlenme yerleri, kütüphane, etüt merkezleri açmak, yapmak, yaptırmak ve ortak olmak, işletmek.
 p) Dernek hizmetlerini; gönüllü çalışanlarla veya gerekli ve yeterli ücretli personel çalıştırarak yürütmek.

r) Yurt içi ve yurt dışındaki proje ve faaliyetleri için kredi almak ve taahhüt edilen proje ve teklifler doğrultusunda kullanmak. Avrupa birliğinin sivil toplum kuruluşları ile ilgi yasalarındaki, katılım, faaliyet, yardımlaşma ve yasayla verilen tüm haklarını kullanmak, Bu konuyla ilgili gerekirse diğer kuruluşlarla iş birliği yapmak. Uluslararası kredi ve fon veren ulusal ve uluslararası kurum ve kuruluşlardan kredi, hibe, fon vs. gibi destekler almak.

s) Zararlı alışkanlıklar ve madde bağımlısı olan insanların tedavisi ve topluma kazandırabilmesi için, kamu kurum ve kuruluşları, diğer sivil toplum kuruluşları ile birlikte veya kendi imkanları ile tedavilerine yardımcı olmak.

ş) Çevrenin, hayvanların ve doğal yaşam alanlarının ve makro ve mikro ekosistemlerin korunması için çeşitli çalışmalar yapmak.

t) Anaokulundan, üniversiteye kadar sıralı tüm eğitim kurumlarında ya da çeşitli halk toplantılarında, medya ve sosyal medyada, amaçlarımız doğrultusunda eğitim faaliyetlerinde bulunmak.

u) Çevrenin, hayvanların ve doğal varlıkların korunması ve çevresel sorunların doğru yönetilmesi ile ilgili gerekli yasal düzenlemelerin yapılmasına, mevzuattaki eksikliklerin giderilmesine öncülük etmek, bu alanda yapılan tüm çalışmalara destek vermek.

ü) Çevre ile ilgili amaçlarımız doğrultusunda projeler geliştirmek, gençlerin bu projeler içerisinde yer almasını sağlamak, bu konuda yarışmalar düzenlemek.

v) Derneğin amacı doğrultusunda hayvan barınakları ile rehabilitasyon merkezleri kurarak kimsesiz hayvanların ve doğal hayattan gelen yardıma muhtaç hayvanların bakımlarını-tedavilerini sağlamak, temel ihtiyaçlarını gidermek, uygun yaşam koşulları sağlamak, hayvan hastaneleri açmak.

y) İhtiyaç görülen yerlerde hayvan için bakım ve beslenme istasyonları oluşturmak.

z) Tıpkı insanların olduğu gibi hayvanların da temel haklarının mevcut olduğu, çevre ve doğal yaşamın bir iç dinamiği bulunduğu ve bunların bir bütünlük arz ettiği, hepsine saygı göstermenin bir insanlık görevi olduğunu benimsemek.
Madde 5- DERNEK ÜYELİĞİ:

Fiil ehliyetine sahip bulunan, derneğin amaç ve ilkelerini benimseyerek bu doğrultuda çalışmayı kabul eden ve mevzuatın öngördüğü koşulları taşıyan her gerçek ve tüzel kişi bu derneğe üye olma hakkına sahiptir.

Dernek başkanlığına yazılı olarak yapılacak üyelik başvurusu, dernek yönetim kurulunca en geç 30 gün içinde üyeliğe kabul veya isteğin reddi şeklinde karara bağlanır ve sonuç yazıyla başvuru sahibine bildirilir. Talebi kabul edilen üye, dernek üye kayıt defterine kayıt edilir.

Madde 6- ÜYELİK ŞEKİLLERİ VE ÜYE AİDATLARI:

Üyelerin Hakları: Derneğin asıl ve fahri olmak üzere iki türlü üyesi vardır.

a)Asıl Üyeler: Derneğin kurucuları ile derneğe asıl üye olmak için talepte bulunan ve yönetim kurulunca üyeliği kabul edilen gerçek ve tüzel kişilerdir. Asıl üye tüzükte belirtilen veya kendisinin taahhüt ettiği aidatlarını düzenli olarak ödeyen seçme ve seçilme hakkına sahip üyelerdir. Her asıl üyenin genel kurulda bir oy hakkı vardır ve üye oyunu bizzat kullanır.

b) Fahri Üyeler: Derneğin amaç ve gayesine ulaşabilmesi için uzaktan ve yakından, manevi veya bedeni, fikri veya mali yardım ve hizmette bulunan, yönetim kurulunca üyeliğe kabul edilen üyelerdir. Fahri üyelerin seçme ve seçilme hakkı yoktur. Sadece dinleyici olarak müzakereleri takip için genel kurul toplantılarına katılabilirler. Faydalı olabilecek önerilerde bulunabilir. Fahri üyeler divan kurulunda ve yönetim kurulu kararı ile kurulacak kurul ve komisyonlarda görev alabilir. Kendi istekleriyle aidat verebilirler. Fahri üyelik için ikametgah şartı aranmaz.

c) Üye Aidatları; Üye aidatları aylık 30 TL olup bu miktarı Yönetim Kurulu bir defada 5 katına kadar artırabilir veya bir defada  % 50 ye kadar indirebilir. Üye kendi taahhüt ederek daha fazla aidat ve giriş aidatı da ödeyebilir.

Madde 7- ÜYELİKTEN ÇIKIŞ:  Üyenin;

a)   Kanunen üyelik hakkını kaybetmesi,
b)   İstifa etmesi,
c)   Yazılı ikaza rağmen üyelik aidatını altı ay içinde ödememesi,
d)   Derneğin tüzüğüne ve amacına aykırı hal ve hareketlerinin görülmesi,
e)   Genel Kurul toplantısına üç kere arka arkaya katılmaması halinde,
f)   Yönetim kurulu kararlarına uymaması halinde yönetim kurulu kararıyla üyelikten çıkartılır.

Üyelikten çıkartılanların yeniden üye olabilmeleri için Yönetim Kurulu kararı gereklidir. Aksi halde bir daha derneğe üye olamazlar.

Yukarıda sayılan haller sebebiyle dernekten çıkan veya çıkarılan üyenin aidatı bağış ve sair suretlerle evvelce yapmış olduğu nakdi ve ayni yardımlar iade edilmez.

Madde 8- DERNEK GENEL KURULU:

Kuruluş Şekli: Dernek tüzüğüne göre genel kurula katılma hakkı bulunan üyelerden oluşur.

Toplantı Zamanı:  Genel Kurul OLAĞAN ve OLAĞANÜSTÜ olmak üzere iki türlü yapılır.

a) OLAĞAN Genel Kurul Toplantısı ve Zamanı: Olağan Genel Kurul toplantısı 3 yılda bir olmak üzere OCAK Ayı içerisinde genel kurula katılma hakkı bulunan asıl üyelerin yarısından bir fazlasının katılımı ile yapılır.

b) OLAĞANÜSTÜ Genel Kurul Toplantısı: Yönetim Kurulu veya Denetleme Kurulunun gerek gördüğü haller veya genel kurula katılma hakkı bulunan asıl üyelerin 1/5’inin yazılı istekleri üzerine yapılır.

Madde 9- ÇAĞRI USULÜ:

Yönetim kurulu, dernek tüzüğüne göre genel kurula katılma hakkı bulunan üyelerin listesini düzenler, Genel kurula katılma hakkı bulunan üyeler, en az 15 gün önceden, günü, saati, yeri ve gündemi bir gazetede ilan edilerek veya yazılı ya da üyenin bildirdiği elektronik posta adresi ile bildirilmek suretiyle toplantıya çağrılır.

Bu çağrıda, çoğunluk sağlanamaması sebebiyle toplantı yapılamazsa, ikinci toplantının hangi gün, saat ve yerde yapılacağı da belirtilir. İlk toplantı ile ikinci toplantı arasındaki süre yedi günden az, altmış günden fazla olamaz.

Toplantı, çoğunluk sağlanamaması sebebinin dışında başka bir nedenle geri bırakılırsa, bu durum geri bırakma sebepleri de belirtilmek suretiyle, ilk toplantı için yapılan çağrı usulüne uygun olarak üyelere duyurulur. İkinci toplantının geri bırakma tarihinden itibaren en geç altı ay içinde yapılması zorunludur. Üyeler ikinci toplantıya, birinci fıkrada belirtilen esaslara göre yeniden çağrılır.

Madde 10- TOPLANTI USULÜ:

Genel kurula katılma hakkı bulunan üyelerin listesi toplantı yerinde hazır  bulundurulur. Toplantı yerine girecek üyelerin resmi makamlarca verilmiş kimlik belgeleri, yönetim kurulu üyeleri veya yönetim kurulunca görevlendirilecek görevliler tarafından kontrol edilir. Üyeler, yönetim kurulunca düzenlenen listedeki adları karşısına imza koyarak toplantı yerine girerler. Kimlik belgesini göstermeyenler, belirtilen listeyi imzalamayanlar ile genel kurula katılma hakkı bulunmayan üyeler toplantı yerine alınmaz.

Toplantı yeter sayısı sağlanmışsa durum bir tutanakla tespit edilir ve toplantı yönetim kurulu başkanı veya görevlendireceği yönetim kurulu üyelerinden biri tarafından açılır.   Toplantı yeter sayısı sağlanamaması halinde de yönetim kurulunca bir tutanak düzenlenir. Açılıştan sonra, toplantıyı yönetmek üzere bir başkan ve yeteri kadar başkan vekili ile yazman seçilerek divan heyeti oluşturulur. Dernek organlarının seçimi için yapılacak oylamalarda, oy kullanan üyelerin divan heyetine kimliklerini göstermeleri ve hazırun listesindeki isimlerinin karşılarını imzalamaları zorunludur. Toplantının yönetimi ve güvenliğinin sağlanması divan başkanına aittir. Genel kurul, gündemdeki konuların görüşülerek karara bağlanmasıyla sonuçlandırılır. Genel kurulda her üyenin bir oy hakkı vardır; üye oyunu şahsen kullanmak zorundadır.

Toplantıda görüşülen konular ve alınan kararlar bir tutanağa yazılır ve divan başkanı ile yazmanlar tarafından birlikte imzalanır. Toplantı sonunda, tutanak ve diğer belgeler yönetim kurulu başkanına teslim edilir. Yönetim kurulu başkanı bu belgelerin korunmasından ve yeni seçilen yönetim kuruluna yedi gün içinde teslim etmekten sorumludur. Mahkemece kayyım atanması veya Medeni Kanunun 75 inci maddesinin ikinci fıkrasına göre görevlendirilme yapılması halinde, bu maddede yönetim kurulana verilen görevler bu kişiler tarafından yerine getirilir.

Madde 11- TOPLANTI YETER SAYISI:

Genel Kurulda Toplantı için yeterli sayı sağlanmış ise durum tutanağa yazılır. Toplantıya katılma hakkına sahip üye tam sayısının yarısından bir fazlasının katılması yeterlidir. Çoğunluğun sağlanamadığından dolayı erteleme olursa ikinci toplantı genel merkez yönetim kurulu ve denetleme kurulu asıl üye sayıları toplamının iki katından az sayıda olamaz.

Madde 12- TOPLANTIDA GÖRÜŞÜLECEK KONULAR:

Genel kurul toplantısında yalnız gündemde yer alan maddeler görüşülür. Ancak toplantıda hazır bulunan üyelerden en az onda biri tarafından görüşülmesi yazılı olarak istenen konuların gündeme alınması zorunludur.

Madde 13- GENEL KURULUN GÖREVİ, YETKİLERİ, OY KULLANMA VE KARAR ALMA USUL VE ŞEKİLLERİ:

Aşağıda yazılı hususlar genel kurulca görüşülür, karara bağlanır.

a) Dernek organlarının seçer,

b) Dernek tüzüğünün değiştirilme teklifini inceler ve karara bağlar,

c) Genel Merkez Yönetim Kurulu ve Denetleme Kurulu raporlarını görüşür ve karar verir.

d) Yönetim kurulunca hazırlanan bütçeyi görüşerek, aynen veya değiştirerek kabul eder,

e) Dernek için taşınmaz malların satın alınması veya mevcut taşınmaz malların satılması hususunda genel merkez yönetim kuruluna yetki verilmesine karar verir.

f) Derneğin feshine ve isim değişikliğine karar verir.

g) Mevzuatta ve dernek tüzüğünde genel kurulca yapılması belirtilen, yurt içi ve yurt dışındaki yetkilerini genel merkez yönetim kuruluna geçici olarak devredebilir.

h) Gelecek dönemlere ait bütçe planını görüşür, yeterli ödenekleri karara bağlar veya değiştirir.

ı) Dernekçe yapılması gereken maddi ve manevi yardımların, ekonomi ve iş dünyası ile ilgili faaliyetlerin yapılması konularını görüşüp karara bağlanması ile yönetim kuruluna yetki verir,

i) Derneğe yurtiçinde ve yurtdışında şube açılmasına karar verir veya yönetim kuruluna yetki verir.

j) Dernekler kanununda yazılı yetkileri kullanır. Gerekli araç gereç v.s. alır ve kullanır.

Madde 14- OY KULLANMA VE KARAR ALMA USUL VE ŞEKİLLERİ:

Genel kurulda kararlar çoğunluk sistemi ile alınır ve her üyenin bir oy kullanma hakkı vardır. Kararlar genellikle açık oy yöntemi ile alınır. Gündem maddeleri ve öneriler açık oyla yapılır ve oy çokluğu karar almaya yeterlidir.

Ancak seçimler gizli oy ve açık tasnifle yapılır. Derneğin dağılması ve tüzük değişikliği gibi önemli kararlarda 2/3 çoğunluk şarttır.

DERNEK ORGANLARININ SEÇİMİ:

Madde 15- YÖNETİM KURULU:

Yönetim kurulu 15 asıl ve 15 yedek üye olarak genel kurulca açık oyla yapılır ve oy çokluğu ile seçilir. Asıl üyeliklerde boşalma olduğu takdirde yedek üyelerin göreve çağrılması zorunludur. Yönetim Kurulu Başkanı, 2 Başkan Yardımcısı,  1 Sekreter,  1 Muhasip, 2 yönetim kurulu üyesinden oluşur. Aralarında görev dağılımı yapılarak çalışırlar.

İlk genel kurul toplanıncaya kadar görev yapmak üzere aşağıda isim adres ve tc kimlik numaraları yazılı bulunanlar Geçici Yönetim Kurulu üyeleri olarak görev yapacaktır. Geçici olarak başkan  AYŞE NİLGÜN DİPTAŞ ‘dır.

Madde 16- YÖNETİM KURULUNUN GÖREV VE SORUMLULUKLARI:

a) Derneği temsil etmek veya bu hususta kendi üyelerinden birine veya bir üçüncü kişiye yetki vermek,

b) Derneğin gelir ve gider hesaplarına ilişkin işlemleri yapmak ve gelecek döneme ait bütçeyi hazırlayarak genel kurula sunmak.

c) Dernek tüzüğünün veya mevzuatın kendisine verdiği diğer işleri yapmaktır.

d) Yönetim kurulu görev bölümü yaparak başkan, başkan yardımcıları, sekreterini ve saymanını seçilenler arasından belirler.

e) Yönetim kurulu ihtiyaç duyduğu an dernek ikametgahında önceden kararlaştıracağı belli bir gün ve saatte çağrısız olarak toplanır.

f) Yönetim kurulu üye tam sayısının yarısından bir fazlasının iştirakiyle toplanır.

g) Kararlar oy çokluğuyla alınır.

h) Oyların eşit olması durumunda başkanın oyu çoğunluğu sağlamış sayılır.

i) Birimlerin açılışını yapmak ve çalışmaları hakkında genelge ve yönetmelik hazırlamak,

j) Dernek işlerinin yürütülmesinde yeteri kadar fahri veya ücretli personel almak ve bunların çalışma esasları ve ücretleri hakanda genelge ve yönetmelik hazırlamak ve uygulamak.

k)  Federasyonlara seçilen üyeleri bir karar ekinde bilgi vererek, federasyon kurulması ve çalışmasına yardımcı olmak.

l)  Üye aidatlarının artırılması veya azaltılmasına karar verir.

Yönetim Kurulunun Yedek Üyelerle Tamamlanması: Yönetim kurulu üye tam sayısı, boşalmalar sebebiyle yedeklerinde girmesinden sonra üye tam sayısının yarısından aşağı düşerse Genel Kurul mevcut Yönetim Kurulu üyeleri tarafından bir ay içerisinde toplantıya çağrılır. Çağrının yapılmaması halinde, dernek üyelerinden birisinin başvurması üzerine mahallin Sulh Hukuk Hakimi duruşma yaparak, dernek üyeleri arasında seçeceği üç kişiyi, bir ay içinde Genel Kurulu toplamakla görevlendirir.

Madde 17- DENETLEME KURULU:

Denetleme Kurulu 3 asıl ve 3 yedek olmak üzere genel kurulca seçilir. Denetleme Kurulu denetleme görevini, dernekler mevzuatında tespit edilen esas ve usullere göre ve bir yılı geçmeyen aralıklarla yapar.  Denetleme sonuçlarını bir rapor halinde Yönetim Kuruluna ve toplandığında Genel Kurula sunar.

Madde 18- BAŞKA ORGANLAR:

Dernekte başka kurullar ve komisyonlar kurulabilir. Ancak bu organlara Genel Kurul, Yönetim Kurulu ve Denetleme Kurulunun görev yetki ve sorumlulukları devredilemez.

Madde 19- ORGANLARA SEÇİLENLERİN İDAREYE BİLDİRİLMESİ:

Olağan veya olağanüstü genel kurul toplantılarını izleyen otuz gün içinde, yönetim ve denetim kurulları ile diğer organlara seçilen asıl ve yedek üyeleri içeren Genel Kurul Sonuç Bildirimi mülki idare amirliğine verilir. Genel kurul toplantısında tüzük değişikliği yapılması halinde; genel kurul toplantıtutanağı, tüzüğün değişen maddelerinin eski ve yeni şekli, her sayfası yönetim kurulu üyelerinin salt çoğunluğunca imzalanmış dernek tüzüğünün son şekli, 30 gün içinde ve bir yazı ekinde mülki idare amirliğine verilir.

Madde 20- DERNEĞİN BORÇLANMASI:

Dernek, harcamalarında yeterli kaynak oluşamadığı hallerde, öncelikle Yönetim Kurulu kararıyla kendi asıl ve yedek üyelerinden yeteri kadar borçlanabilir.  Yönetim Kurulu kararıyla kendi üyelerinden yeterli borçlanma sağlanamazsa derneği rencide etmeyecek, baskı altında tutmayacak veya yasalarca sakıncası olmayacak yurt içi ve yurt dışındaki şahıs, kuruluş ve diğer sivil toplum kuruluşlarından borç alabilir.

Madde 21- DERNEĞİN GELİRLERİ ve GELİR GİDER USULÜ :

                 Derneğin gelirleri ve gelir kaynakları.

a)    Üye aidatları,

b) Dernekçe tertiplenen, konser, sergi, kermes, gezi, seyahat, panel, fuar, sosyal ve kültürel etkinlikler, şenlik ve temsil spor yarışması gibi faaliyetlerden sağlanan gelirler.

c) Yardım ve bağışlar ile diğer dernek, vakıf, şirket ve kuruluşlar ile yurt içi ve yurt dışından yapılan yardım ve bağışlar.

d) Derneğin mal varlığından elde edilecek gelirler.

e) Banka mevduat gelirleri, basın, yayın ve iktisadi işletmelerden elde edilecek gelirler.

f) Yardım toplama hakkındaki mevzuat hükümlerine uygun olarak toplanacak bağış ve yardımlardan oluşur.

g) Dernek için dış ülkelerdeki gerçek ve tüzel kişiler veya kuruluşlardan alınacak yardımlar hakkındaki yönetmelik ve genelgeler doğrultusunda yapılır.

Derneğin gelir ve giderlerinde usul ; Dernek yıl içinde elde ettiği gelirinin en az % 70’ini amaçları doğrultusunda kullanır. Dernek gelirleri alındı belgesi ile tahsil edilir. Dernek gelirlerinin bankalar aracılığı ile tahsili halinde banka tarafından düzenlenen dekont veya hesap özeti gibi belgeler alındı belgesi yerine geçer.Dernek giderleri ise fatura, perakende satış fişi, serbest meslek makbuzu gibi harcama belgeleri ile yapılır. Ancak dernekler, Gelir Vergisi Kanununun 94 üncü maddesi kapsamında bulunan ödemeleri için Vergi Usul Kanunu hükümlerine göre gider pusulası, bu kapsamda da bulunmayan ödemeleri için Gider Makbuzu düzenlerler.
Dernekler tarafından kişi, kurum veya kuruluşlara yapılacak bedelsiz mal ve hizmet teslimleri Ayni Yardım Teslim Belgesi ile yapılır. Kişi, kurum veya kuruluşlar tarafından derneklere yapılacak bedelsiz mal ve hizmet teslimleri ise Ayni Bağış Alındı Belgesi ile kabul edilir.

Madde 22- DERNEKLERDE TUTULMASI GEREKEN DEFTER VE BELGELER:

Kanunlar ve yönetmeliklerle belirtilen defterler, dernek birimleri veya noterlerce tasdik edilmek suretiyle tutulur.

Yasal hükümler gereği istisna haddini aştığında bilanço defterine geçilir. Dernek gelirleri alındı belgesi veya doğrudan bankaya yatırıldığında banka dekontu ile yapılır. Bu belgelerin muhafazası özel kanunlarda gösterilen daha uzun süreye ilişkin hükümler saklı kalmak üzere beş yıldır. Dernek gelirlerinin toplanmasında kullanılan alındı belgesi yönetim kurulunca alınan karara istinaden bir matbaada bastırılarak kullanılır.

Yönetim kurulu asıl üyeleri hariç, dernek adına gelir tahsil edecek kişi veya kişiler, yetki süresi de belirtilmek suretiyle, yönetim kurulu kararı ile tespit edilir. Gelir tahsil edecek kişilerin açık kimliği, imzası ve fotoğraflarını ihtiva eden Yetki Belgesi dernek tarafından iki nüsha olarak düzenlenerek, dernek yönetim kurulu başkanınca onaylanır. Yönetim kurulu asıl üyeleri yetki belgesi olmadan gelir tahsil edebilir.

Yetki belgelerinin süresi yönetim kurulu tarafından en çok bir yıl olarak belirlenir. Süresi biten yetki belgeleri birinci fıkraya göre yenilenir. Yetki belgesinin süresinin bitmesi veya adına yetki belgesi düzenlenen kişinin görevinden ayrılması, ölümü, işine veya görevine son verilmesi, derneğin kendiliğinden dağıldığının tespit edilmesi veya fesih edilmesi gibi hallerde, verilmiş olan yetki belgelerinin dernek yönetim kuruluna bir hafta içinde teslimi zorunludur. Ayrıca, gelir toplama yetkisi yönetim kurulu kararı ile her zaman iptal edilebilir.

Madde 23- DERNEĞİN İÇ DENETİM ŞEKLİ:

Derneğin iç denetimi, Dernekler Kanunu ve dernek tüzüğüne göre, Denetleme Kurulu tarafından gerçekleştirilir. Ancak, gerekli görüldüğünde başka kurul veya komisyonlarda oluşturulabilir veya bağımsız denetim kuruluşlarına denetim yaptırılabilir. Dernek yönetim kurulu kararıyla, kendi bünyesinde uzman denetici çalıştırarak ta denetimi sağlayabilir.

Denetleme kurulu denetimleri  yılda bir defa yaparak düzenlediği raporları yönetim kuruluna ve toplandığında genel kurula sunar.

Madde 24- TÜZÜK DEĞİŞİKLİĞİ:

Olağan ve olağanüstü toplantı gündemine konulmak ve değişiklik önerileri yazılı olarak genel kurula sunularak onaylanmak şartı ile tüzük değiştirilebilir. Tüzük değişikliği için Genel Kurul üyelerin üçte ikisinin katılımıyla toplanır; çoğunluğun sağlanamaması sebebiyle toplantının ertelenmesi durumunda ikinci toplantıda çoğunluk aranmaz. Ancak, bu toplantıya katılan üye sayısı, yönetim ve denetim kurulları üye tam sayısının iki katından az olamaz. Tüzük değişikliği için karar çoğunluğu toplantıya katılan üyelerin üçte ikisinin oyu ile karar verilir.

Madde 25- DERNEĞİN FESHİ, TASFİYESİ, MALVARLIĞI ve TASFİYE KURULU:

Dernek genel kurulu her zaman derneğin feshine karar verebilir. Genel kurulun derneğin feshine karar verilebilmesi için, tüzüğe göre genel kurula katılma hakkına sahip bulunan dernek üyelerinin en az 2/3’ünün toplantıda hazır bulunması şarttır.

İlk toplantıda bu çoğunluğun sağlanamaması halinde üyeler tüzüğün ikinci toplantıya çağrılır. İkinci toplantıda çoğunluk aranmaz. Ancak bu toplantıya katılan üye sayısı, yönetim ve denetim kurulları üye tam sayısının iki katından az olamaz.  Derneğin feshinin sonuçlanması ile ilgili karar yönetim kurulu tarafından 30 gün içinde mahallin en büyük Mülki Amirliğine (Dernekler Müdürlüğüne) yazı ile bildirilir. Genel kurulca fesih kararı verildiğinde, derneğin mal, para ve haklarının tasfiyesi son yönetim kurulu üyelerinden oluşan tasfiye kurulunca yapılır.

Madde 26- DERNEĞİN BİRİMLERİ VE KURULUŞ ŞEKİLLERİ:

Dernek gerekli gördüğü yerlerde, dernek faaliyetlerini yürütmek amacıyla, yönetim kurulu kararıyla yurt içi ve yurt dışında temsilcilikler açabilir. Temsilciliğin adresi, yönetim kurulu kararıyla temsilci olarak görevlendirilen, kişi veya kişiler tarafından, o yerin mülki idare amirliğine yazılı olarak bildirilir.

Temsilcilikler genel kurulda temsil edilmezler.

Temsilcilikler, kanun ve yönetmeliklerde belirtilen yetkilerin dışına çıkamaz, dernek merkezinin tanıtım ve amacına yönelik hizmetlerinde yardımcı olurlar.

Temsilcilik harcamaları ve bütçeleri dernek merkezince her yıl belirtilen miktarları içermektedir.

Temsilciliklerin yetki ve çalışma şekilleri yönetim kurulu kararına göre hazırlanacak genelgelerle ve yönetmeliklerle belirlenir ve uygulanır.

Derneğin birden fazla temsilcilik açmasında bir sakınca yoktur. Daha çok fahri çalışarak derneğe mali yük getirmeden açılış talep edenlerin tercihleri öncelikle dikkate alınır. Temsilcilikler çalışmaları hakkında yönetim kurulunun belirleyeceği süreler içerisinde genel merkeze bilgi verirler.

Temsilciliklerin denetim ve yönetimi hakkında talimatlar yazılarak kendilerine duyurulur. Bu talimatlara uymayan yöneticiler yönetim kurulu kararıyla değiştirilir. Bu husus yeterli olmazsa temsilcilik derneğe zarar veriyorsa gerekli ikazdan sonra kapatılır.

Madde 27- YURT DIŞINDAN YARDIM ALMA VE YARDIM YAPMA ŞEKLİ:

Dernekler kanunu ve ilgili mevzuata bağlı çıkarılan genelge ve yönetmelikler doğrultusunda yönetim kurulu kararıyla yurt dışındaki, özel ve tüzel kişiler ile kurum ve kuruluşlardan, yardım yapmasında sakınca olmayan diğer kuruluşlardan bağış ve yardım alır ve yasal ölçülerde kalmak kaydıyla yardım yapar.

Madde 28- DERNEĞİN ŞUBELERİ:

Dernek genel merkez genel kurulunca şube açılışı için, genel merkez yönetim kuruluna yetki verilmiş ise bu yetkiye istinaden genel merkez yönetim kurulu kararıyla yurt içi ve yurt dışında gerekli yasal işlemlerini yerine getirerek şubeler açabilir. Şubeler istenilen il ve ilçelerde açılabilir.

Madde 29- ŞUBELERİN KURULUŞ ŞEKLİ:

Tüzüklerinde şube açabileceği belirtilmiş dernekler, genel kurullarınca yetki verilen yönetim kurullarının yetkili kılacakları en az üç kişinin imzaladığı (Mülga ibare:RG-30/10/2011-28100) (1 ADET) Kuruluş Bildirimini (EK- 2) ve aşağıda belirtilen eklerini şubenin açılacağı yerin mülki idare amirliğine verirler.

a) Şube kurucuları arasında tüzel kişiliklerin bulunması halinde; bu tüzel kişilerin unvanı, yerleşim yeri ve kuruluşuna ait belgeler ile tüzel kişiliklerin organları tarafından yetkilendirilen gerçek kişi de belirtilmek kaydıyla bu konuda alınmış kararın fotokopisi,
b) Kurucular arasında yabancı uyruklular varsa, bunların Türkiye’de yerleşme hakkına sahip olduklarını gösterir belgelerin fotokopileri,
c) Geçici yönetim kurulu üyeleri ile yazışma ve tebligatı almaya yetkili kişi veya kişilerin adı, soyadı, yerleşim yerlerini ve imzalarını belirten liste,
d) Şube açılması için yönetim kuruluna verilmiş yetkiyi gösteren genel kurul kararının fotokopisi,
e) Kurucu olarak yetkilendirilmiş kişiler için alınmış dernek yönetim kurulu kararı fotokopisi.

Büyükşehir belediyesi sınırları içinde kalan ilçeler hariç diğer ilçelerdeki şube kuruluş işlemlerinde istenen belgeler birer arttırılarak verilir.

Şubelerin Genel Kurula Kadar Yapması Gereken İşlemler:

Şube kuruluş bildirimi ve eklerinin mevzuata uygunluğu, kuruluş bildirimleri için verilen alındı belgelerinin düzenlendiği tarihten itibaren altmış gün içinde mülki idare amiri tarafından bizzat veya dernekler birimlerine yetki verilmek suretiyle incelenir.

Şube kuruluş bildirimi ve eklerinin incelenmesinde, sonucun kuruculara bildirilmesinde derneklere ilişkin hükümler uygulanır. Şube,şube merkezinin bulunduğu yerin il dernekler müdürlüğünce kütüğe kaydedilir.

Şubelerin açılışına izin verildiğinde, şubenin genel kurulu yapılıncaya kadar, faaliyetlerin yürütülmesi için, Genel Merkez Kurulunca şube açılış bildirisinde adı geçen üyeler arasından, 1 Şube Başkanı, 1 Başkan Yardımcısı, 1 Sekreter, 1 Muhasip ve 1 Üye olarak görev yapacak geçici yönetim kuruluna görev verir.  Şube Yönetim Kurulu Genel Merkezden yazılı kuruluş onayını aldığı tarihten itibaren 30 gün içerisinde şubenin açıldığını ve kurucu üyelerin kimlik bilgi ve belgelerini, şubenin adresinin bağlı bulunduğu yerin en yüksek mülki amirliğine bildirir ve bildirimden sonra verilen alındı belgesine istinaden çalışmalarına başlar ve alındı belgesinden bir suretle kuruluş bilgilerini genel merkeze bildirir.

Madde 30-  ŞUBE ÜYELİĞİ:

Şubelerde de genel merkezde olduğu gibi, asıl ve fahri üye olmak üzere iki çeşit üyesi vardır. Üyelik şartları aynen genel merkez üyeliği gibidir.

Üyelerin hakları, üyelik giriş çıkış ve çıkarılması, genel merkez üyelik şartlarının aynısı olup, üye aidatları da aynıdır. Başka şubelerdeki üyelerin ikametgahları nedeniyle başka şubelere üye nakli yapılır. Nakil tarihine kadar hangi şubede kayıtlı ise o tarihe kadar aidatını ödemek kaydıyla nakli yapılır.

Madde 31- ŞUBE ORGANLARI:

Şube organları; 1- Şube Genel Kurulu, 2- Şube Yönetim Kurulu, 3- Şube Denetleme Kurulu olup, genel kurul şubenin en yetkili kuruludur.

Şube Genel Kurulu; 1- Olağan Genel Kurul, 2- Olağanüstü Genel Kurul olarak iki türlü yapılır.

1- Olağan Genel Kurul: Şubeler Olağan Genel Kurul Toplantılarını ,merkez olağan genel kurul toplantısından en az iki ay ince tamamlamak zorundadır. Genel kurul sonuçları genel merkez genel kurulunun yapılacağı tarihten iki ay önce genel merkeze bildirilir. Genel kurul sonuçları ile birlikte, şubenin gelir gider hesapları ile faaliyet raporları da bildirilir.

2- Olağanüstü Genel Kurul: Olağanüstü Genel Kurul toplantısı, yönetim ve denetleme kurulu kararlarına istinaden, ya da üye tam sayısının 1/5’nin çağrısı üzerine yapılır.

Madde 32- ŞUBE GENEL KURULUNUN YAPILIŞ ŞEKLİ:

Şube genel kurulu yönetim kurulu kararında belirtilen tarih, yer ve saatte yapılır. Genel kurulun yapılacağı yer, tarih ve saatin ilanı gazete,  posta, yazılı tebligat veya elektronik posta yoluyla üyelere duyurularak toplantı yapılır.  Toplantıya katılan üye sayısı üye tam sayısının yarısından bir fazlasının katılımı ile yapılır. Buna göre yeterli çoğunluk sağlanamazsa 7 gün sonra aynı yer ve saatte çoğunluk aranmadan genel kurul yapılır.

Her üyenin bir oy hakkı vardır ve oyunu kendisi bizzat kullanır. Genel kurul şube başkanı veya yönetim kurulundan bir üyenin yapacağı açılışla başlar, bir başkan, bir başkan yardımcısı ve yeterli katip üyenin seçimi ile genel kurulu yönetmek üzere divan heyeti oluşur.  Genel kurul sonuçları 30 iş günü içerisinde mahallin en yüksek mülki idari amirliğine, 30 gün içerisinde de dernek genel merkez başkanlığına bildirilir. 

Madde 33- ŞUBE YÖNETİM KURULUNUN SEÇİMİ, OLUŞUMU VE GÖREVLERİ:

Şube genel kurulunda en çok oy alan 5 asıl ve 5 yedek üyenin seçilmesiyle şube yönetim kurulu oluşur. Yönetim kurulu asıl üyeleri kendi aralarında başkan,  başkan yardımcısı, sekreter, muhasip ve üye olarak görev dağılımı yapar. Yönetim kurulu başkanı aynı zamanda şube başkanıdır, kararlarda oyların eşit olması halinde başkanın oyu iki oy sayılır.

a) Şube yönetim kurulu genel kuruldan hemen sonra, kurullara seçilen üyelerin yeni görevlerini ve genel kurulda tanzim olunan evrakları genel merkez onayı alındıktan sonra 30 gün içerisinde, mahallin mülki amirliğine teslim ederler. Genel merkezin istediği, şube genel kurul evraklarından yeteri kadarını da 30 gün içerisinde, dernek genel merkezine teslim eder veya ulaşımını sağlarlar.

b) Şube yönetim kurulu, genel kurul işlemlerini tamamladıktan sonra, dernek tüzüğünde yazılı görevleri, genel kurulda alınan kararları ve genel merkezden gelen emir ve genelgeler doğrultusunda çalışmalarını yapar.

c) Uygulamada zorlandığı zaman genel merkezden bilgi alır.

d) Çalışmalarında genel merkezi örnek alarak verilen yetkilerini kullanır.

e) Şubeler her yıl yıllık faaliyet raporu ile birlikte, genel istatistik bilgileri içeren raporu yazı ekinde genel merkez başkanlığına bildirir.

f) Şubeler her üç ayda bir hesap akışını kesin olarak, borç alacak dahil genel merkeze bildirir.

g) Faaliyetlerinde mutlaka karar alır ve gelir giderlerini yasa ve tebliğlere uygun yapar.

ğ) Şubeler birden fazla elaman çalıştırmak için, gayrimenkul ve menkul mal edinmek için, ortaklık ve iştirak halleri için genel merkezden izin alırlar,

h) Şubeler gerek Türkiye ve gerekse dış ilişkilerde tüzükde yazılı icraatları gerçekleştirebilmek için genel merkezden izin alırlar veya genel merkez yönetim kurulunca yayımlanan genelgeler doğrultusunda çalışırlar.

ı) Genel merkez genel kurulunun yayımlayacağı, personel, kira, dış ilişkiler, halkla ilişkiler, üye kabulü, yardım ve sosyal hizmetler gibi uygulamalar için genelge çıkararak şubelere bildirir ve şubeler bu genelgelere uymak zorundadır.

i) Kanun, Tüzük ve Genelgelere uymayan yönetici ve üyeler hakkında genel merkez genel kurulunun görevlendireceği uzman yetkilinin vereceği rapor doğrultusunda, suçu tespit edilenler, uyarılır, görevi değiştirilir veya görevden alınırlar.

j) Şubelerin her yıl yapacağı burs ve yardımların miktar ve şekilleri genel merkez yönetim kurulu tarafından karara bağlanır ve şubelere bildirilir.

Madde 34- ŞUBE DENETLEME KURULUNUN SEÇİMİ, OLUŞUMU VE GÖREVLERİ:

Şube denetleme kurulu genel kurulda yapılan gizli oyla 3 asil 3 yedek üyenin seçilmesiyle oluşur. Şube hesapları, defter ve belgeleri, dernek gelirleri ve tahsilatları, derneğin amacına uygun çalışıp, çalışmadığı, genel merkeze süresinde istatistik bilgiler ve hesapların bildirilip, bildirilmediği hususları her üç ayda bir rapor edilir.

Madde 35- ŞUBE GELİRLERİ VE GENEL MERKEZ PAYLARI:

Şube gelirleri, üye aidatları, bağış ve yardımlar, ortaklık ve iştirak payları, lokal gelirleri, sergi, kermes, kurs, yarışma, kira gelirleri ve tüzükte yazılı faaliyetlerden doğan gelirler. Gelirler makbuz karşılığı tahsil edilir, giderler mutlaka fatura ve fatura yerine kullanılan yasal belgelerle muhasebeleştirilir.

Şubeler gelirlerinin % 15’ni genel merkez payı olarak, genel merkeze gönderirler. Bu miktar her genel merkez genel kurulunda gerekirse artırılır veya azaltılır. Bu hususta genel merkez yönetim kurulunun genelgelerine uyulur.

Madde 36- ŞUBELERİN GENEL MERKEZE KARŞI SORUMLULUKLARI:

Şubeler yasalarda verilen yetkileri kullanır. Ancak: Genel merkez yönetim kurulu başkanlığının uygulama ve genelgelerini de dikkate almak zorundadır. Birliğin sağlanması ve bilgi akışı için verilen talimatlara uyarak istenilen zamanlarda genel merkeze yazılı bilgiler verir. Aynı zamanda şube ihtiyaçları ve şube haklarını da talep eder.

Madde 37- ŞUBENİN FESHİ, TASFİYESİ, MALVARLIĞI ve TASFİYE KURULU:

Şube genel kurulu her zaman derneğin şubesinin feshine karar verebilir. Şube genel kurulunun derneğin feshine karar verilebilmesi için, tüzüğe göre genel kurula katılma hakkına sahip bulunan dernek üyelerinin en az 2/3’ünün toplantıda hazır bulunması şarttır.

İlk toplantıda bu çoğunluğun sağlanamaması halinde üyeler ilgili mevzuata göre ikinci toplantıya çağrılır. İkinci toplantıya katılan üye sayısı ne olursa olsun fesih konusu görüşülebilir. Feshe ilişkin kararın, toplantıda hazır bulunan üyelerin 2/3 oy çoğunluğuyla verilmesi gerekir.

Şubenin feshinin sonuçlanması ile yönetim kurulu tarafından 30 gün içinde mahallin en büyük mülki amirliğine (Dernekler Müdürlüğüne) yazı ile bildirilir.

Feshine karar verilen şubenin mal varlığı dernek genel merkezine aktarılır.

Derneğin feshi ve mal teslimatları, şube genel kurulu tarafından kurulacak en az üç kişilik fesih kurulu tarafından yapılır. Bu kurul fesih tutanağı ve belge tespit ve zimmet işlerini de yürütür.

Madde 38- ÜST KURULUŞLARA KATILMA:

Yurt içi ve yurt dışında, katılmasında sakınca olmayan kurulmuş olan veya kurulacak olan federasyonlara katılır. Üye olur, üye seçer ve temsilci gönderir. Platformlara katılır.

Madde 39- DERNEĞİN KURUCULARI:

Dernek kurucularının adı, soyadı, meslek ve ikametgahları ile tabiyetleri aşağıya çıkarılmıştır.

Madde 40- HÜKÜM EKSİKLİĞİ

Bu tüzükte açık hüküm bulunmayan hallerde Dernekler Kanunu, Türk Medeni Kanunu, Dernekler Yönetmeliği ve ilgili diğer mevzuatın konuya ilişkin hükümleri uygulanır.

The principal office of the Association is located in Istanbul. The Association may open branches abroad and within the country.

Article 3- Purpose of the Association:  

The purpose of the Association shall be to contribute to social peace and happiness of the society, to deliver in-kind and cash aid in a timely and healthy manner to all those in need at home and abroad, to provide scholarships and trainings for students suffering from economic difficulties. to produce constructive and appropriate solutions for environmental problems, endeavour to protect the biodiversity in nature and prevent the extinction of species. to organize seminars and conferences and inform our people in line with aforementioned purposes.

Article 4- Scope of Study & Activity of the Association:

The fields of study and activities that the association shall continue in order to achieve its purposes are as follows:

a) The association carries out its activities by prioritizing our national interests in the protection, development and expansion of a clean society in line with social activities, events and laws and regulations.

b) Organizing domestic and international training activities and programs (conferences, panels, seminars, symposiums, fairs, exhibitions, etc.) in line with its purposes, cooperating with other non-governmental organizations, institutions and organizations within the framework of these activities and participating directly in the organized activities and events.

c) Accepting membership fees, in-kind and cash donations for income generation and collecting donations within the framework of Law No. 2860.

d) Organizing domestic and international trips for social, cultural and charitable purposes, organizing concerts, conferences, exhibitions, charity sales, tea party and similar traditional days.

e) Using all kinds of communication tools such as press, radio, television, internet, agency, newspaper, magazine, book, brochures and posters in order to convey information in line with its purposes. Printing, publishing and distributing these publications.

f) If necessary, opening soup kitchens and places of disbursement of aid in appropriate places by the decision of the Board of Directors.

In addition to the services provided by our association at the soup kitchens and aid points, accepting various aids from the people of the surrounding area on a voluntarily basis and providing services and aid to those in need. Accepting temporary or permanent in-kind and cash aid and support, provided that written statements and identity information of those who want to give such aid are received, and delivering aid to people by accepting humanitarian aid without placing an excessive burden on the association.

 g) Establishing and becoming a member of an association, establishing a federation, a platform and being a member of other organizations and platforms. Being a member of international organizations by obtaining the necessary permissions. The General Assembly is authorized in this matter.

h) Granting scholarships to students. Receiving social and economic aid, helping poor children and orphans of all ages with their education costs and overseas education expenses, and helping schools when necessary.

i) Establishing, purchasing, opening, operating, renting and leasing educational institutions such as daycare centers, kindergartens, high schools and equivalent schools, private schools, colleges, centers and private teaching institutions within the framework of laws.

j) planning and conducting scholarly studies. For this purpose, preparing all kinds of opportunities, granting scholarships and providing in-kind and cash aid to the candidates for researcher positions who are studying in primary, high school, undergraduate, graduate and post graduate degrees. Organizing training courses for students.

 k) Organizing courses in fields such as foreign languages, ornamentation, miniature, marbling, calligraphy, reading, speaking, writing and speed reading and purchasing, establishing, opening, operating, renting, leasing course places for this purpose.

l) Carrying out reading, research and scientific work in fields suitable for its purpose, providing project development scholarships, hiring third parties to conduct scientific research or providing in-kind and cash aid for such researches. Providing consultancy and project management services to public and private institutions in the fields of education, science, social assistance, culture and art.

m) Opening schools, hostels, dormitories, guesthouses, student houses, libraries and reading halls for education and training, as well as cooperating with existing educational institutions so that education can be carried out at desired levels in a convenient way or benefiting from the places and teaching of other non-governmental organizations granted for these purposed at the disposal of the Association. Hiring training  instructors at all levels and assigning them as staff member or honorary office member, carrying out the same activities abroad when necessary.

n) Procuring and granting books, magazines, newspapers, VCD, DVD training and work tools, disability cars, non-refundable education scholarships and vocational training scholarships to both members of our association and to anyone in need.

o) Accepting donations of movable assets and real estates, purchasing, renting, leasing, constructing a service building with other non-governmental organizations or being a partner in these projects. Establishing economic enterprises or becoming a partner when necessary.

p) By communicating and cooperating with politicians, industrialists and businessmen, artists, craftsmen and professionals providing educational and beneficial services to the society in the field of economy and development by increasing social cooperation, provided that they receive or provide support in areas where they can be beneficial. Supporting professionals in employment opportunities-.

q) Establishing and operating companies, partnering and cooperating with companies established for this purpose, in order to carry out its purpose and fields of activity and generating income for the Association.

r) Establishing commissions and boards among the members in line with their professions and abilities, without prejudice to the rights of the board of directors, in the execution of purpose-oriented services. Opening, building, contracting third parties to build and enter into partnering with, operating roads, bridges, fountains, playgrounds, business areas for cultural activities and social assistance, social facilities, tea garden, guesthouse, patisserie, soup kitchens, entertainment and resting places, libraries, study centers in order to serve more segments of society.
 s) Carrying out the services provided by the Association with volunteer workers or by employing necessary and sufficient paid personnel.

t) Obtaining loans for domestic and foreign projects and activities and using them in line with the committed projects and proposals. Using all the rights of participation, activity, cooperation and legal rights in the laws of the European Union regarding non-governmental organizations, cooperating with other organizations on this issue, if necessary. Receiving aid such as loans, grants and funds from national and international institutions and organizations that provide international loans and funds.

u) Helping people with harmful habits and drug users in their treatment, together with public institutions and organizations, other non-governmental organizations or by their own means, in order to help them reintegrate into society.

v) Carrying out various studies for the protection of the environment, animals and natural habitats and macro and micro ecosystems,
 

w) Carrying out educational activities in line with our purposes, in all sequential educational institutions from kindergarten to university or in various public meetings, media and social media.

x) Leading the necessary legal regulations regarding the protection of the environment, animals and natural assets and the correct management of environmental problems, eliminating the deficiencies in the legislation and supporting all studies in this field.

y) in line with our environmental objectives, developing projects, ensuring that young people take part in these projects and organizing competitions on this subject.
 

z) In line with the purpose of the association, establishing animal shelters and rehabilitation centers, providing care and treatment for orphaned animals and animals in need of help coming from natural life, meeting their basic needs, providing suitable living conditions, opening animal hospitals.

aa) Establishing care and feeding stations for animals where needed.

bb) Adopting the idea that just like humans, animals have fundamental rights, that the environment and natural life have an internal dynamic and that they are integrity, and that it is a human duty to respect all of them.

 

Article 5- Membership:

Every natural and legal person who has legal capacity, adopts the aims and principles of the association and agrees to work in this direction, and meets the conditions prescribed by the legislation, has the right to become a member of this association.

The membership application submitted in writing to the administration of the association is decided by the Board of Directors of the association in the form of acceptance or rejection of the request within 30 days at the latest and the result is notified to the applicant in writing. The member whose request is accepted is registered in the association member register.

Article 6- Membership Forms & Fees:

Rights of Members: The Association shall consist of two classes of members: principal and honorary.

a) Principal Members: These are the founders of the association and the natural and legal persons who submits a request to become a principal member of the association and whose membership is accepted by the Board of Directors. The principal members are the members who have the right to elect and be elected and who regularly pay their fees specified in the charter or committed by them. Each principal member has one vote at the general assembly and each member shall cast his/her vote in person.

b) Honorary Members: Members who are accepted to membership by the board of directors, who provide spiritual or physical, intellectual or financial assistance and service from distance or close, in order for the association to achieve its purpose and goal. Honorary members do not have the right to elect and the right to hold office. They can attend general assembly meetings to follow the negotiations as listeners only. They can make helpful suggestions. Honorary members can take part in the council board and in the boards and commissions to be established by the decision of the board of directors. They can give fees on a voluntary basis. For honorary membership, the residence permit is not required.

c) Member Fees; Member fees are 30 TL per month and the Board of Directors can increase this amount up to 5 times at once or reduce it up to 50% at a time. Each member can also pay more fees and entrance fees by committing on a voluntary basis.

Article 7- Cancel Membership: If the member;

a)   Legally loses his/her right to membership,
b)   Resigns,
c)   Does not pay the membership fee within six months despite a written warning,
d)   Acts contrary to the charter and purpose of the association,
e)   Does not attend the General Assembly meeting three times in a row,
f)   Does not comply with the decisions of the board of directors, shall be removed from membership by the decision of the board of directors.

The decision of the Board of Directors is required for those who have been removed from membership to be admitted as a member again. Otherwise, they cannot become members of the association again.

Fees, donations and other aids in cash and in-kind made by a member who resigns or has been removed from the association due to the above-mentioned situations are not refundable.

Article 8- General Assembly:

Form of Composition: It consists of members who have the right to attend the general assembly according to the bylaws of the association.

Meeting Periods:  The General Assembly shall be held in two ways: ORDINARY and EXTRAORDINARY.

a) ORDINARY General Assembly Meeting and Time: Ordinary General Assembly meeting is held every 3 years in JANUARY with the participation of more than half of the original members who have the right to attend the general assembly.

b) EXTRAORDINARY General Assembly Meeting: It is held when deemed necessary by the Board of Directors or the Supervisory Board or upon the written requests of 1/5 of the principal members who have the right to attend the general assembly.

Article 9- Call for Meetings:

The Board of Directors shall prepare the list of the members entitled to attend the General Assembly in accordance with the Bylaws of the Association. Members attending to the General Assembly are to be invited to the meeting at least 15 days before the meeting day by way of informing the date, hour, place and agenda in writing,  in a newspaper or by notifying them in writing or via e-mail.

On this notice, in case there is no majority at the first meeting, the date and hour of the second meeting shall be specified. The period between the first meeting and the second meeting cannot be less than seven days and more than sixty days.

If the meeting is postponed for any reason other than the lack of quorum, this situation is announced to the members in accordance with the invitation procedure for the first meeting, including the reasons for the postponement. The second meeting must be held within six months at the latest from the date of adjournment. Members are invited to the second meeting again according to the principles stated in the first paragraph.

Article 10- Meeting Procedure:

The list of members entitled to attend the general assembly is made available at the meeting place. Identity documents issued by the official authorities of the members who will enter the meeting place shall be checked by the members of the board of directors or the officials to be appointed by the board of directors. The members, who will attend the meeting, have to sign the space across their names in the list prepared by the board of directors. Those who do not show their identity document, do not sign the specified list and do not have the right to attend the general assembly shall not be allowed to enter in the meeting hall.

 Upon determining the presence of quorum for the meeting, the presence shall be documented in the minutes and meeting is opened by the chairman of the board of directors or one of the board members to be appointed.   If the meeting quorum is not met, a minute is drawn up by the board of directors. After the opening, a chairman and a sufficient number of vice-chairmen and a secretary are elected to chair the meeting, and a Assembly Board is formed. In the voting for the election of the bodies of the association, it is obligatory for the voting members to show their identities to the Assembly Board and sign near their names on the list of attendees. The management and security of the meeting belong to the chairman of the Assembly Board. The general assembly is concluded by discussing and deciding on the agenda items. Each member has one vote at the general assembly; each member has to vote in person.

The topics discussed and the decisions taken at the meeting are recorded in a minute and signed by the chairman of the Assembly Board and the secretaries. At the end of the meeting, the minute and other documents are delivered to the chairman of the board of directors. The chairman of the board of directors is responsible for preserving these documents and delivering them to the newly elected board of directors within seven days. In the event that a trustee is appointed by the court or an assignment is made in accordance with the second paragraph of Article 75 of the Turkish Civil Code, the duties assigned to the board of directors in this article shall be fulfilled by these persons.

Article 11- Metting Quorum:

If the sufficient number of members are present for the meeting of the General Assembly, the situation is written in the minute. One more than half of the total number of members entitled to attend the meeting is sufficient. If there is a postponement due to the lack of a majority, the second meeting cannot be less than twice the total number of the main members of the head office board of directors and the supervisory board.

Article 12- Topics to be Discussed at the Meeting:

Only the items on the agenda are discussed at the general assembly meeting. However, it is obligatory to include on the agenda the issues that are requested to be discussed in writing by at least one tenth of the members present at the meeting.

Article 13- Duties, Authorities, Voting & Decision-Making Procedures of the General Assembly:

The General Assembly;

a) Selects the bodies of the association,

b) Examines and decides on the proposal to amend the bylaws of the association,

c) Discusses and decides on the reports of the Head Office Board of Directors and the Supervisory Board,

d) Accepts the budget prepared by the board of directors by negotiating, as it is or by changing it,

e) Decides to authorize the board of directors of the principal office to purchase immovable properties for the association or to sell existing immovable properties,

f) Decides to terminate the association and change its name.

g) May temporarily transfer its domestic and foreign authorities, which are specified in the legislation and the bylaws of the association, to be held by the general assembly, to the board of directors of the principal office,

h) Discusses the budget plan for future periods, decides on sufficient allowance or changes it,

i) Authorizes the board of directors by discussing and deciding on the financial and moral aid required by the association, and the activities related to the economy and business world,

j) Decides to open a branch within the country and abroad or authorizes the board of directors to adopt such decisions,

k) Uses the authorities written in the  law of associations , Receives and uses necessary tools, etc. and discusses and resolves the issues listed above.

 

Article 14- Voting & Decision Making Procedures & Forms:

Decisions in the general assembly are taken by majority rule and each member has the right to vote. Decisions are usually taken by open vote. Agenda items and suggestions are made by open vote and a majority of votes is sufficient to take a decision.

However, the elections are held by secret ballot and open counting. 2/3 majority is required for important decisions such as termination of the association and amendment of the bylaws.

SELECTION OF THE ASSOCIATION BODIES:

Article 15- Board of Directors:

The board of directors consists of 12 principal and 15 substitute members and is elected by the general assembly via open vote and by the majority of votes.

If there is a vacancy in the principal memberships, it is obligatory to call the substitute members for duty. Board of Directors consists of the Chairman of the Board of Directors, 2 Vice-Presidents,  1 Secretary  and 1 member of the board of directors. Board perform its functions by distributing tasks among its members.

Until the first general assembly convenes, those whose names, addresses and TR ID numbers are written below will serve as members of the Interim Board of Directors. The interim chairman is AYŞE NİLGÜN DİPTAŞ.

Article 16- Duties & Responsibilities of the Board of Directors:

a) Representing the association or authorizing one of its members or a third party in this regard,

b) Make the transactions regarding the income and expense accounts of the association and preparing the budget for the next period and presenting it to the general assembly.

c) Carrying out other tasks given to him/her by the bylaws of the association or the relevant legislation.

d) The board of directors appoints the chairman, vice-chairman, secretary and treasurer from among the elected ones by division of duties.

e) The board of directors convenes at the residence of the association on a certain day and time to be determined in advance, when needed.

f) The quorum for the Board of Directors meetings is the simple majority of the members..

g) The decisions are taken by the simple majority of the members present..

h) In case the votes are equal, the vote of the chairman is deemed to have obtained the majority.

i) Inaugurating the units and preparing circulars and regulations about their work,

j) Recruiting enough honorary or paid staff in the conduct of the association's business and preparing and implementing circulars and regulations on their working principles and wages.

k) Assisting in the establishment and operation of the federations by informing the elected members of the federations via an  annex to an assignment decision.

l) The board of directors decides to increase or decrease the membership fees.

Completion of the Board of Directors with Substitute Members: If the total number of members of the Board of Directors falls below half of the total number of members due to vacancies, the General Assembly is invited to a meeting within one month by the current members of the Board of Directors. If the invitation is not made, upon the application of one of the members of the association, the local Magistrate of Civil Court of Peace will hold a hearing and assign three persons to be chosen among the members of the association to convene the General Assembly within one month.

Article 17- Supervisory Board:

The Supervisory Board is elected by the general assembly as 3 principal and 3 substitute members. The Supervisory Board performs its auditing duties in accordance with the principles and procedures determined in the legislation of associations and at intervals not exceeding one year.  It presents the audit results in a report to the Board of Directors and to the General Assembly when convened.

Article 18- Other Bodies:

Other boards and commissions may be established within the structure of the Association. However, the duties, authorities and responsibilities of the General Assembly, the Board of Directors and the Supervisory Board shall not be transferred to these bodies.

Article 19- Notification of Elected Bodies to the Administration:

Within thirty days following the ordinary or extraordinary general assembly meetings, the General Assembly Final Resolution containing the principal and substitute members elected to the board of directors and supervisory boards and other bodies is given to the local authority. In case of a bylaws amendment at the general assembly meeting; the meeting minutes of the general assembly, the old and new versions of the changed articles of the bylaws and the final form of the bylaws of the association, each page of which is signed by the absolute majority of the members of the board of directors, is submitted to the local governor's office within 30 days as an attachment to a letter.

Article 20- Borrowing of the Association:

In cases where sufficient resources cannot be created for its expenditures, the association may borrow a sufficient amount from its principal and substitute members, primarily by the decision of the Board of Directors. If sufficient borrowing cannot be obtained from its own members by the decision of the Board of Directors, the Association may borrow from individuals, organizations and other non-governmental organizations within the country and abroad that will not offend the association, put it under pressure, or may violate the law.

Article 21- Revenues & Income & Expenses Procedures of the Association:

                 Association's incomes and sources of income.

a) Member fees,

b) Incomes from activities such as concerts, exhibitions, charity sales, trips, travels, panels, fairs, social and cultural events, festivities and representative sports competitions organized by the association.

c) Aids and donations from other associations, foundations, companies and organizations, established inside the country or abroad.

d) Incomes from the assets of the association.

e) Incomes from bank deposits, press, broadcasting and economic enterprises.

f) donations and aids to be collected in accordance with the provisions of the legislation on aid collection.

g)Donations shall be collected in line with the regulations and circulars on the aid to be received from real and legal persons or organizations in foreign countries for the association.

Procedure in the income and expenses of the association; the association uses at least 70% of its income during the year for its purposes. Association incomes are collected via receipt. In case the income of the association is collected through banks, documents such as bank receipts or account statements shall replace the receipt document. The expenses of the association are made with expenditure documents such as invoices, retail sales receipts, self-employment invoices. However, associations issue an expense slip for their payments within the scope of Article 94 of the Income Tax Law, and an Expense Receipt for their payments that are not within this scope, in accordance with the provisions of the Tax Procedure Law.
Deliveries of free goods and services to individuals, institutions or organizations by associations are made with an In-kind Aid Delivery Document. Free goods and services delivered to associations by individuals, institutions or organizations are accepted with the In-kind Donation Receipt.

Article 22- Books & Documents that must be Kept in Associations:

The books specified by laws and regulations are kept by being certified by association units or notaries.

When it exceeds the exception limit in accordance with legal provisions, it is entered in the balance book. The income of the association is received with a receipt or a bank receipt when deposited directly to the bank. The conservation period of these documents is five years, without prejudice to the provisions regarding the longer periods specified in special laws. The receipt used in the collection of the income of the association is printed in a printing house based on the decision taken by the board of directors.

Except for the principal members of the board of directors, the person or persons who will collect income on behalf of the association are determined by the decision of the board of directors, including the duration of authorization. The Certificate of Authorization, which includes the clear identity, signature and photographs of the persons who will collect income, is prepared in two copies by the association and approved by the chairman of the board of directors of the association. The principal members of the board of directors can collect income without a certificate of authorization.

The duration of the certificates of authorization is determined by the board of directors as a maximum of one year. Expired certificates of authorization are renewed according to the first paragraph. In cases such as the expiration of the certificate of authorization or the resignation of the person on whose behalf the certificate of authorization is issued, death, termination of office or duty, the spontaneous dissolution of the association or its termination, it is obligatory to submit the certificates of authorization to the board of directors of the association within one week. In addition, the authority to collect income can be revoked at any time by the decision of the board of directors.

Article 23- Internal Audit of the Association:

The internal audit of the association is carried out by the Supervisory Board, in accordance with the Law of Association and the byways of the association. However, when deemed necessary, other boards and commissions may be formed or independent audit firms may be hired in order to perform auditing. With the decision of the board of directors of the association, it is possible to assign an expert auditor within the association to perform these duties.

The supervisory board conducts the audits once a year and presents the reports it prepares to the board of directors and to the general assembly when it convenes.

Article 24- Amendment of the Bylaws:

The bylaws may be amended, provided that they are included in the agenda of ordinary and extraordinary meetings and the amendment proposals are submitted in writing to the general assembly and approved. For the bylaws to be  amended, the General Assembly shall convene with the participation of two-thirds of the members. In the event that the meeting is postponed due to a lack of quorum, the majority is not sought in the second meeting. However, the number of members attending this meeting cannot be less than twice the total number of members of the board of directors and supervisory board. The quorum of the decision for the amendment of bylaws is the votes of two-thirds of the members attending the meeting.

Article 25- Association's Termination, Liquidation, Assets & Liquidation Board:

The general assembly of the association can always decide to terminate the association. In order for the general assembly to decide on the termination of the association, at least 2/3 of the members of the association who have the right to attend the general assembly according to the bylaws must be present at the meeting.

If this quorum is not achieved in the first meeting, the members are called to the second meeting. In the second meeting, the majority is not sought. However, the number of members attending this meeting cannot be less than twice the total number of members of the board of directors and supervisory board.  The decision regarding the termination of the association is notified in writing to the highest local authority (Directorate of Associations) within 30 days by the board of directors. When the termination decision is made by the general assembly, the liquidation of the assets, money and rights of the association is made by the liquidation board, which consists of the last board members.

Article 26- Units of the Association & Forms of Establishment:

The association may open representative offices within the country and abroad, with the decision of the board of directors, in order to carry out the activities of the association, where it deems necessary. The address of the representative office is notified in writing to the local authority by the person or persons appointed as the representative by the decision of the board of directors.

Representative offices are not represented in the general assembly.

Representative offices cannot go beyond the authorities specified in the laws and regulations, and they assist in the promotion and purpose of the association's principal office.

Representative office's expenditures and budgets shall include the amounts specified each year by the principal office of the association.

The authority and working methods of the representations are determined and implemented by the circulars and regulations to be prepared according to the decision of the board of directors.

There is possible to open more than one representative office of the association. The preferences of those who request an opening without putting a financial burden on the association by working more honorably are taken into consideration first. Representative offices inform the principal office about their work within the periods to be determined by the board of directors.

Instructions on the supervision and management of the representative offices are written and announced to the offices. Managers who do not comply with these instructions are replaced by the decision of the board of directors. If this is not sufficient and if the representative office harms the association, it shall be closed after the delivery of notice.

Article 27- Form of Receiving Help from Abroad& Granting Aid to Organizations Established Abroad:

The association receives donations and aid from abroad, private and legal persons, institutions and organizations, and other organizations that dare deemed as appropriate, with the decision of the board of directors in accordance with the law of associations and the circulars and regulations issued in accordance with the relevant legislation, and provides aid provided that it remains within legal limits.

Article 28- Branches of the Association:

The association may open branches within the country and abroad by fulfilling the necessary legal procedures with the decision of the principal office's board of directors, based on this authority if the principal office's board of directors has been authorized to open branches by the general meeting of the head office. Branches can be opened in the provinces and districts that are deemed appropriate.

Article 29- Establishment of Branches:

Associations, which are specified in their Bylaws to be able to open a branch, submit the Declaration of Establishment (Annex-2) signed by at least three persons (Repealed phrase:Official Journal-30/10/2011-28100) (1 item) authorized by the board of directors appointed by their general assembly, and the annexes below, to the local governor's office where the branch will be opened.

a) In case there are legal entities among the founders of the branch; a copy of the decision taken on this subject, provided that the title, place of residence and establishment of these legal entities and natural entities authorized by the bodies of the legal entities are also indicated.,
b) If there are foreign nationals among the founders, copies of documents showing that they have the right of establishment in Turkey,
c) List indicating the names, surnames, places of residence and signatures of the interim members of the board of directors and the person or persons authorized to receive correspondence and notification,
d) Copy of the general assembly resolution showing the authority given to the board of directors to open a branch,
e) Copy of the resolution of the board of directors of the association for persons authorized as founders.

Except for the districts within the boundaries of the metropolitan municipality, the documents required for the establishment of branches in other districts are given by increasing one by one.

Transactions to be Carried Out by the Branches until the Meeting of the General Assembly:

The compliance of the branch establishment notification and its annexes with the legislation is examined by the local authority or by giving authorization to the directorate of associations within sixty days from the date of issuing the receipt documents for the establishment declaration.

Provisions regarding associations shall be implemented for the examination of the branch establishment declaration and its annexes, and the notification of the result to the founders. The branch is registered in the register by the provincial directorate of associations of the place where the branch head office is located.

When the establishment of the branches is approved, until the general assembly of the branch is held, it assigns duties to the interim board of directors, which will consist of 1 Branch Chairman, 1 Vice-Chairman, 1 Secretary, 1 Accountant and 1 Member among the members named in the branch opening statement by the Head Office Board. The Branch Board of Directors notifies the branch's opening and the identity information and documents of the founding members to the highest local governor's office of the place where the branch's address is affiliated, within 30 days from the date it receives the written establishment approval from the Head Office. After the notification, it starts its work on the basis of the receipt and informs the head office of the establishment information in a way from the receipt.

Article 30- Branch Membership:

There are two types of members in branches, as in the principal office: principal and honorary members. Membership requirements are just like head office membership.

The rights of the members, entry & exit and annulment of membership are the same as the general center membership conditions, and the membership fees are the same. Members are transferred to other branches due to the residence of members in other branches. The transfer is made on the condition of paying the fees until the date of transfer, in which branch it is registered.

Article 31- Bodies of Branches:

Branch bodies shall consist of: 1- Branch General Assembly, 2- Branch Board of Directors, 3- Branch Supervisory Board, and the general assembly is the most authorized board of the branch.

Branch General Assembly shall be held in two ways :1- Ordinary General Assembly and 2- Extraordinary General Assembly.

1- Ordinary General Assembly: Branches must complete their Ordinary General Assembly Meetings at least two months earlier than the ordinary general assembly meeting of the principal office. The results of the general assembly are notified to the head office two months before the date of the general assembly meeting. Along with the results of the general assembly, the income & expense accounts of the branch and the activity reports shall also be reported.

2- Extraordinary General Assembly: Extraordinary General Assembly meeting is held based on the decisions of the board of directors and supervisors or upon the call of 1/5 of the total number of members.

Article 32- Form of Branch General Assembly:

Branch general assembly is held at the date, place and time specified in the resolution of the board of directors. The meeting is held by announcing the place, date and time of the general assembly meeting to the members via newspaper, mail, written notification or e-mail.  The quorum of members attending the meeting is the simple majority of the total number of members. Accordingly, if the quorum is not achieved, the general assembly is held 7 days later at the same place and time without seeking the majority.

Each member has one vote and casts his/her vote in person. The general assembly begins with the opening to be made by the branch chairman or a member of the board of directors, and a Assembly Board is formed to chair the general assembly with the election of a chairman, a vice-chairman and sufficient secretary members. The results of the general assembly are reported to the highest local governor's office within 30 working days, and to the head office of the association within 30 days. 

Article 33- Election, Establishment & Duties of the Branch Board of Directors:

The branch board of directors is formed by the election of the 5 principal and 5 substitute members who received the most votes in the branch general assembly. The principal members of the board of directors distribute tasks among themselves as chairman, vice-chairman, secretary, accountant and member. The chairman of the board of directors is also the branch chairperson, if the votes are equal in the decisions, the vote of the chairman is counted as two votes.

a) The branch board of directors delivers the new duties of the members elected to the boards and the documents prepared in the general assembly to the local governor's office within 30 days after the approval of the head office, immediately after the general assembly. The branch board of directors delivers or provides transportation to the head office of the association, within 30 days, of a sufficient amount of the branch general assembly documents requested by the principal office.

b) After completing the general assembly procedures, the branch board of directors performs the duties written in the association's bylaws in line with the decisions taken at the general assembly, and the orders and circulars coming from the head office.

c) The branch board of directors shall seek information and advice from the principal office when difficulties are encountered in its administration.

d) In its works, the branch board of directors uses the authority given by taking the principal office as an example.

e) Branches submit the annual report containing general statistical information to the principal office together with the annual activity report in the annex of the letter.

f) Branches shall  notify the principal office quarterly regarding the account flow, including debit and credit.

g) Branches take decisions in their activities and make their income and expenses in accordance with the laws and notices.

h) Branches shall obtain permission from the principal office for employing more than one staff, for acquiring real estate and movable property, for partnerships and shareholdings.

i) Branches shall obtain permission from the principal office or work in accordance with the circulars issued by the principla office's board of directors in order to carry out the actions written in the charter both in Turkey and in foreign relations.

j) Circulars are issued for applications such as staff, rent, foreign relations, public relations, member admission, aid and social services to be published by the general assembly of the principal  office and the branches are obliged to comply with these circulars.

k) In line with the report given by the expert official to be assigned by the head office general assembly about the directors and members who do not comply with the Law, Bylaws and Circulars, those who are found guilty shall be reprimanded and their duties shall be changed or they shall be dismissed.

l) The amounts and forms of scholarships and aid made by the branches each year are decided by the principal office^'s board of directors and notified to the branches.

Article 34- Election, Establishment & Duties of the Branch Supervisory Board:

Branch supervisory board shall consist of 3 full and 3 substitute members that will be elected via secret ballot held at the general assembly. Branch accounts, books and documents, income and collections of the association, whether the association works in accordance with its purpose, statistical information and whether the accounts are reported to the principal office in a timely manner shall be reported every three months.

Article 35- Branch Incomes & Shares of the General Assembly:

Branch incomes, membership fees, donations and aids, partnership and interest shares, local incomes, exhibitions, charity sales, courses, competitions, rental incomes and incomes based on activities written in the Bylaws. Incomes shall be collected in return for receipt and expenses shall be documented with invoices and legal documents used instead of invoices.

Branches send 15% of their income to the principal office as a share of the general assembly. This amount is increased or decreased, if necessary, at each principal office's general assembly. In this regard, the circulars of the principal office's board of directors shall be complied with.

Article 36- Responsibilities of the Branches to the Head Office:

Branches use the authorities given by the law. However, the principal office must also take into account the practices and circulars of the board of directors. Branches give written information to the principal office at any time, following the instructions given for the establishment of the union and the flow of information. Branches also request provision of their needs and branch rights.

Article 37- Branch's Termination, Liquidation, Assets & Liquidation Board:

The branch general assembly can always decide to terminate the branch of the association. In order for the branch general assembly to decide on the termination of the association, at least 2/3 of the members of the association who have the right to attend the general assembly according to the bylaws must be present at the meeting.

If this majority is not achieved in the first meeting, the members are invited to the second meeting in accordance with the relevant legislation. Regardless of the number of members attending the second meeting, the issue of termination can be discussed. The decision regarding the termination must be taken by 2/3 majority of the members present at the meeting.

The termination of the branch is notified by the board of directors in writing to the highest local governor's office (Directorate of Associations) within 30 days.

The assets of the branch whose termination is decided are transferred to the principal office of the association.

The termination of the association and the deliveries of goods are made by the termination board of at least three people established by the branch general assembly. This board also carries out the termination report and document determination and debit works.

Article 38- Participation to Larger Organizations:

The association may participate in the federations that have been established or will be established abroad and within the country, when its is deemed to be appropriate for the association. The association becomes a member, elects members and sends representatives. The association participates in platforms.

Article 39- Founders of the Association:

The names, surnames, occupations, residences and nationalities of the founders of the association are listed below.

Article 40- Applicable Law

In cases where there is no clear provision in this Bylaws, the provisions of the Law of Associations, Turkish Civil Code, Regulation of Associations and other relevant legislation shall be applied.
